About these terms

These terms apply to services supplied by Benjamin Dayer-Swan, trading as Onbeza, of 19 Starboard View, South Woodham Ferrers, CM3 5XW, United Kingdom.

Onbeza’s standard services are intended for businesses buying for trade or professional purposes, not for consumers buying wholly or mainly for personal use. If Onbeza agrees to provide a consumer service, separate terms covering the applicable consumer rights will be provided before the contract is made.

A project begins only after the client accepts a written quote or agreement. If a project-specific agreement conflicts with this page, the project-specific agreement takes priority.

Quotes, fees and payment

• A quote describes the agreed pages, features, services, assumptions and price.
• Website build fees are normally payable before work begins unless the quote says otherwise.
• Monthly services are payable in advance by the agreed method.
• Additional work is quoted and approved before it starts.
• Late invoices may result in work being paused. Business debts may attract statutory interest where the law permits.

Delivery, approvals and changes

Onbeza will provide services with reasonable skill and care. Delivery estimates depend on the client supplying accurate content, access and approvals when requested.

The quote states what is included and any revision allowance. New pages, substantial redesigns, new integrations or work outside the agreed allowance are additional work. Onbeza will explain the effect on price and timing before proceeding.

SEO work is intended to improve a site’s usefulness and visibility, but search rankings, traffic and enquiry volumes cannot be guaranteed.

Website care and growth plans

Each monthly plan is governed by its written service agreement. Unless that agreement says otherwise:

• the plan has a 12-month minimum term;
• included change time does not roll into later months;
• hosting, SSL, backups and the stated support or SEO services are included;
• work outside the plan is quoted separately;
• prices remain fixed during the initial term; and
• after the initial term, the service continues monthly until ended with 30 days’ written notice.

Ownership and handover

• The client owns its domain names, Google accounts and content it supplies.
• Third-party images, fonts, software or services remain subject to their own licences.
• While Onbeza hosts and manages a site, its code may be held in Onbeza’s GitHub and Vercel accounts.
• Once agreed fees are paid, a departing client can receive a repository transfer, hosting transfer or full export as specified in the service agreement.
• Self-hosted clients assume responsibility for hosting, updates and operation after handover unless they buy further support.

Client responsibilities

The client must provide accurate instructions and content, respond to approval requests, keep its domain renewed, protect its own accounts and ensure it has the right to use supplied names, text, images, logos and other material.

The client remains responsible for its business claims, regulatory statements, prices and customer-facing policies. Onbeza may refuse content or instructions that appear unlawful, misleading, unsafe or outside the agreed work.

Third-party services and data

Websites may depend on services provided by Vercel, GitHub, Google, Web3Forms, domain registrars, booking platforms or a client-selected CRM. Onbeza chooses and configures services with reasonable care but cannot guarantee that an independent provider will always remain available or unchanged.

Where Onbeza processes personal information for a client, the client is normally the controller and Onbeza the processor. The applicable service agreement and data-processing schedule describe those responsibilities. Read the Onbeza privacy policy for information Onbeza controls directly.

Ending or suspending services

Either party may end a service as allowed by its written agreement. Outstanding fees remain payable. Onbeza may pause work or, after reasonable written notice, suspend hosted services where payment is materially overdue or continued operation creates a security or legal risk.

On exit, account access is removed or transferred as appropriate. Onbeza may retain invoices, contracts and necessary records for tax, legal claims and compliance.

Liability

Nothing in these terms excludes liability that cannot legally be excluded. Subject to that, Onbeza is not responsible for indirect loss, loss of profit, business opportunity or changes made by the client or an unauthorised third party.

Where a signed agreement contains a specific liability cap, that cap applies. Clients should keep appropriate business-continuity arrangements and insurance for losses that could exceed the service fees.

Law and changes

These terms and Onbeza’s services are governed by the law of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory consumer rights that apply.

Material changes apply to new quotes or renewals unless agreed with an existing client. The effective date at the top identifies the current public version.
